Annual Salary: Negotiable

Contract: 60,000.00 - 80,000.00 per year (Plus Performance Related Bonus)

We are looking for an ambitious Head of Mamp;A to drive the Group's acquisition strategy from start to finish and have day-to-day responsibility for driving acquisition and partnership transactions to completion. This includes identifying and monitoring target companies, contacting and maintaining close dialogue with the owners of those companies, as well as coordinating and executing acquisition transactions including driving both internal and external processes.

Working directly with our C-Suite Team, your responsibilities will include managing workstreams and communication with our internal teams, whilst developing and maintaining relationships with external parties such as legal and financial advisers. You will take the lead on the execution of transactions, whilst supporting our Edtech Investment Team to build a close pipeline of Ed-tech companies. You will also play an important role in both the strategy for identifying new targets - working alongside our Competitor Intelligence Unit, Product Strategy and Innovations Team, as well as in the integration of the newly acquired companies, helping identify and realise value across all the portfolio companies within the Twinkl Group.

The goal will be to complete 3-4 acquisitions across Europe and the US.

Areas of responsibility

  • Development of the Group Mamp;A strategy, reporting directly to the Company’s Chief Strategy Officer and working closely with business units and corporate leadership
  • Development and maintenance of Mamp;A pipeline, sourcing and developing new deal opportunities through proprietary (self-generated or from the BUs) and referral channels (banks, corporate finance boutiques, etc.) and converting targets to actionable opportunities
  • Work with internal and external teams during merger and acquisition process from strategic rationale, due diligence, approvals and negotiations through full integration
  • Identify key integration value drivers, risks, and mitigation actions to build transition strategies and integration plans for all functional aspects
  • Leading due diligence process for priority opportunities coordinating and managing combination of investors and 3rd party advisors
  • Develop and maintain some/all of the key master files for use with all acquisitions: master valuation model, due diligence request list, integration task list, financing, financial/non-financial analysis, etc.
  • Manage and negotiate non-disclosure agreements, confidentiality agreements with target companies as well as transaction documentation (term sheet, SPA)
  • Develop presentation materials summarizing investment opportunities and recommendations for senior management and the board of directors
  • Support the operations team to drive post-merger integration of new investments

Requirements

We're interested in anyone who meets one or more of the following criteria:

You have 4-6 years’ post-university work experience in corporate Mamp;A, Corporate Finance/Investment Banking;, Private Equity, or BIG 4 Mamp;A/Transaction Services.

  • You will have gained relevant experience within company valuation, project management, acquisition processes, transaction documents and due diligence and have the ability to lead work streams in these areas
  • You are analytical, independent and communicative with an ability to forge meaningful relationships
  • Strong work ethic and the ability to work independently and a high level of professionalism
  • Knowledge of the cybersecurity and/or software industries is an advantage
  • Possess strong commercial judgement, with the foresight to see how potential acquisitions fit within the broader business
  • Be intellectually agile and curious, as well as being technical, analytical and a structured, strategic problem solver with an ability to assimilate information whilst maintaining strategic focus
  • Excellent interpersonal, communication and presentation skills with proven ability to communicate and influence at Director and Board level, and the confidence to challenge where appropriate
  • Strong financial accounting skills
  • Must be able to travel up to 25%; travel may include international assignments
  • Fluency in English is a requirement
